General Terms and Conditions (GTC) – Aivor.ai

§1 General Provisions

The company Darkwood.Design, owner Daniel Böhmel (hereinafter referred to as “Aivor.ai”), provides its services exclusively on the basis of these General Terms and Conditions (GTC). These apply to all contracts between Aivor.ai and its customers, unless otherwise expressly agreed in writing.

These GTC apply equally to consumers (B2C) and entrepreneurs (B2B). They cover all services provided by Aivor.ai, including the use of software tools, the purchase of credits, and the use of the Aivor Academy.

In addition, the Usage Policy available at https://aivor.ai/usage-policy/ applies.

§2 Scope of Services (SaaS Services & Academy)

1. SaaS Tools: Aivor.ai provides the customer with access to various AI-supported Software-as-a-Service solutions (e.g., Chat, Content Studio, Visuals, Leads) via the Internet. The software itself is not surrendered to the customer.
2. Aivor Academy: In addition, Aivor.ai offers digital content for retrieval (e.g., online courses, workshops, certification courses). Hereby, the customer acquires the right to use the content for their own purposes in accordance with the description.
3. Prerequisite: The use of the services requires registration and—depending on the service—the purchase of a subscription or credits.
4. Availability: Aivor.ai strives for high availability but does not owe uninterrupted usability (e.g., due to maintenance or third-party outages).

§3 Rights of Use and Customer Obligations

1. The customer receives a simple, non-transferable right to use the booked services for the duration of the contract. Access data must be kept secret.
2. Prohibited Use: The customer may not use the services for illegal content, spam, or in critical infrastructures.
3. Special Obligations regarding Lead Generation & Outreach: If the customer uses tools for data acquisition (e.g., “Leads”) or automated contact initiation, the following applies:
- The customer is solely responsible for the legal admissibility of data collection (e.g., scraping) and contact initiation (e.g., sending emails, making calls).
- The customer ensures that their actions comply with applicable laws (esp. GDPR, UWG/Unfair Competition Act).
- Indemnification: The customer indemnifies Aivor.ai against all third-party claims (including legal defense costs and fines) resulting from the unlawful use of these tools by the customer. Aivor.ai provides only the technical infrastructure; no content-related or legal verification of the target contacts takes place.

§3a Rights to Generated Content

The rights to the platform remain with Aivor.ai. However, the customer acquires the full, unrestricted usage rights to all content generated for them by the AI (texts, images, code) for any use (including commercial). The customer is solely responsible for ensuring that this content does not violate the rights of third parties.

§4 Payment Conditions & Credits

1. Payment processing: Payment can be made either via the payment service providers PayPal (PayPal (Europe) S.à r.l. et Cie, S.C.A.) or Stripe (Stripe Payments Europe, Ltd.). The customer selects the payment method during the ordering process. The account is debited upon completion of the order or, in the case of subscriptions, on the respective billing date.
2. Subscriptions: Payments are due in advance.
3. Validity of Credits (Expiration Policy):
- Subscription Credits: Credits granted as part of a monthly subscription (membership) are intended for use in the respective month. They expire at the end of the respective billing month or are reset to the new month's quota. Accumulation (rollover) over months is excluded.
- One-Time Credits (Credit Packs): Separately purchased credit packs are subject to the statutory regular limitation period (German Civil Code § 195). Therefore, they expire after three years at the end of the year.
- Cash payment of credits is excluded.

§5 Prices & Changes

Prices include statutory VAT. Aivor.ai reserves the right to adjust prices for subscriptions. Changes will be announced at least 6 weeks in advance via email; the customer then has a special right of termination.

§6 Liability

Aivor.ai is liable without limitation in cases of intent, gross negligence, and injury to life, body, or health. In cases of slight negligence, Aivor.ai is liable only for the breach of essential contractual obligations, limited to the contract-typical foreseeable damage. AI Disclaimer: The results generated by the AI (esp. legal or medical texts) serve as drafts. Aivor.ai assumes no warranty for their correctness. Use is at the customer's own risk.

§7 Warranty

The statutory provisions apply (limited to 12 months for B2B contracts).

§8 Right of Withdrawal

Consumers have a statutory right of withdrawal. Premature Expiration: The right of withdrawal expires for digital content (Credits, Courses, Tool Access) if the customer has expressly agreed that Aivor.ai shall begin with the execution of the contract before the expiry of the withdrawal period and has confirmed their knowledge that they lose their right of withdrawal through this consent.

§9 Data Protection

Processing takes place in accordance with the GDPR. Details can be found in the Privacy Policy under https://aivor.ai/privacy-policy/.

§10 Term & Termination

1. Monthly subscriptions can be terminated with a notice period of 7 days to the end of the term.
2. Annual subscriptions extend automatically for an indefinite period (terminable monthly) if not terminated in due time.
3. Upon termination of the subscription, all included subscription credits expire immediately. Separately purchased one-time credits remain valid until statutory expiration (§4), provided the account remains in existence.

§11 Reference Usage (B2B only)

Aivor.ai may name corporate customers as references, provided they do not object.

§12 Final Provisions

German law applies (excluding UN Sales Law). The place of jurisdiction for merchants is the registered office of Aivor.ai.
